These Terms and Conditions ("Terms") govern your access to and use of the websites, products, and services provided by Zoo Media, Inc. ("Zoo Media," "we," "us," or "our"), a Colorado corporation and a Dakdan Worldwide company. By accessing or using our services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use our services. Workforce development programs require participants to be at least 18 years old, or 16+ with parental consent and verified high school completion.

2. Account Types

Zoo Media offers four account types: Public, Client, Student/Intern, and Partner. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

3. Services

Zoo Media provides the following services:

• OTT/CTV streaming television advertising
• Smart Zoo IoT technology solutions
• Digital signage, LED boards, and interactive kiosks
• Social media management and AI tools
• CRM and marketing automation
• Website development and SEO
• Publishing (Zoo Media Magazine and 700+ children's books)
• Media licensing through ZooImagery.com
• Veterinary equipment and supplies through Zoo Medical Group
• Workforce development and job placement
• DOW SkillBridge training programs
• Conservation travel through Travel.ZooMedia.us
• Consulting services for Smart Zoo transformation

4. Payment Terms

• All payments are in United States Dollars (USD)
• We accept Visa, Mastercard, American Express, Discover, ACH, wire transfer, and PayPal
• Net 30 payment terms available for approved client accounts
• Subscription billing per service agreement frequency
• Subscriptions require 30-day advance notice for cancellation

5. Refund Policy

• Subscriptions: 30-day cancellation notice required; no refunds for partial periods
• One-Time Purchases: Evaluated on a case-by-case basis
• Workforce Tuition: Per individual enrollment agreement terms
• Custom Development: No refunds after project commencement
• Medical Equipment: Returns accepted within 30 days with possible restocking fee

6. Intellectual Property

Zoo Media owns all website content, features, functionality, and source code. Users receive a limited, non-exclusive, revocable license to access and use our services. Users retain ownership of content they submit but grant Zoo Media a worldwide, royalty-free license to use such content for service provision.

7. Media Licensing (ZooImagery.com)

• Personal License: Non-commercial use only
• Commercial License: Commercial use up to specified impression limits
• Extended License: Merchandise and unlimited impressions
• Exclusive License: Sole rights with competitor exclusion

8. Disclaimers

Services are provided "AS IS" except for express warranties of professional performance and conformance to service descriptions. Total liability is capped at 12 months of payments or $100, whichever is greater.

9. Dispute Resolution

These Terms are governed by the laws of the State of Colorado. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Denver, Colorado. You agree to waive the right to participate in class action lawsuits.
